Sonterra Women’s Association Bylaws 2006 – 2007
ARTICLE I: NAME The name of this organization shall be “The Sonterra Women’s Association.”
ARTICLE II: PURPOSE
The purpose of this organization is three-fold; it shall be to:

Promote friendship by introducing members to each other and organize an annual Holiday Bazaar

To support and encourage participation in social affairs held at The Club At Sonterra

To support a local charity.
ARTICLE III: FISCAL YEAR The fiscal year shall be August to May.
ARTICLE IV: MEMBERSHIP
Section 1: MEMBERSHIP – Any woman member of The Club at Sonterra shall be eligible for membership. Membership to be instated with payment of annual dues. Prospective member(s) may attend the membership coffee / tea, along with two scheduled luncheons, without paying dues, but dues must be paid prior to/or on the day of any additional luncheons / programs.
Section 2: GUEST POLICY – Only paid members of The Sonterra Women’s Association may bring guests. Any woman who is a member of The Club at Sonterra but is not a member of The Sonterra Women’s Association may attend only two luncheons as a guest. Any woman who is not a member of The Club at Sonterra may attend any number of luncheons as the guest of a Sonterra Women’s Association member.
ARTICLE V: DUES
Section 1: ANNUAL DUES shall be set by the Board of Directors. Dues received after April 1st shall be applied to the following year.
Section 2: DUES are payable from August to May.
Section 3: NEW MEMBER DUES are payable upon joining.
ARTICLE VI: TREASURY
A minimum of $500 shall be carried over in the treasury for the following year.
ARTICLE VII: BOARD OF DIRECTORS
Section 1: OFFICERS
President: The President shall preside at all meetings and perform services that are necessary for the operation, progress and development of the Association and shall act as ex-officio member of all committees and serve as Advisor / Parliamentarian the year following her term as President. She shall also appoint chairmen of standing committees.
Vice President / Membership: The Vice President shall perform all duties of the President in her absence, keep an accurate record of membership and be responsible for the year’s directory. She shall also submit a final yearly report to be given to her successor.
2nd Vice President: The 2nd Vice President shall fill in for the Vice President when necessary, be responsible for scheduling programs for monthly luncheons and will actively seek suggestions from the membership. She shall also submit a final yearly report to be given to her successor.
Recording Secretary: Shall keep an accurate record of all correspondence along with the minutes from the Executive Board Meetings. She shall supply a duplicate copy of minutes to the President each month and submit a final yearly report to be given to her successor.
Treasurer: Shall receive all monies, pay bills, and disperse funds as directed by the Board. She shall submit a written monthly report at each Board meeting showing the collection and allocation of funds. She shall submit final yearly report to be given to her successor.
Parliamentarian: Shall be responsible for guiding the Association as the legality of its proceedings according to “Robert’s Rules of Order, Rev.,” will be available to answer questions regarding Association Bylaws and will be Chairman of the Bylaws Committee. She shall submit a final yearly report to her successor.
Corresponding Secretary: Shall be responsible for sending greetings, sympathy and thank you notes for the Association. She shall also submit a final yearly report to be given to her successor.
Section 2: STANDING COMMITTEES Chairman of the Standing Committees shall also be a member of the Board of Directors.
Historian: Shall compile and preserve material pertaining to the Association in a permanent record / photo album. She shall submit a final yearly report to be given to her successor.
Holiday Bazaar: Shall coordinate the annual Holiday Bazaar with the 2nd Vice President. She shall also submit a final yearly report to be given to her successor.
Publicity: Shall coordinate and submit information for the Association’s column in the Sonterra Newsletter. She shall also submit a final yearly report to be given to her successor.
Luncheon Reservations: Shall be responsible for handling all reservations for monthly luncheons. She shall also submit a final yearly report to be given to her successor.
Luncheon Programs: Shall assist the 2nd Vice President in her search for appropriate luncheon programs. She shall submit a final yearly report to be given to her successor.
Luncheon Menus: Shall be responsible for planning menus for monthly luncheons. She shall also submit a final yearly report to be given to her successor.
Luncheon Decorations: Shall be responsible of planning and preparing table decorations for monthly luncheons. She shall also submit a final yearly report to be given to her successor.
Luncheon Invitations: Shall be responsible for making, designing and mailing out notices or luncheon invitations to The Sonterra Women’s Association members each month. She shall also submit a final yearly report to be given to her successor.
Section 3: Each Officer and Committee Chair shall submit a written budget to the Board for approval at the first meeting of the fiscal year. Said budgets shall pass by a 2/3 majority of the Board. Each Officer and Committee Chair shall submit a financial report at the last meeting of the fiscal year.
ARTICLE VIII: NOMINATING COMMITTEE AND ELECTION OF OFFICERS
Section 1: The Nominating Committee shall consist of three Board Members and two general members appointed by the Board in January.
Section 2: The candidates for office shall be presented at the April meeting at which time the nominations from the floor will be taken with the consent of the nominees.
Section 3: A two-thirds vote of those present at the May meeting shall constitute election. Elected Officers shall serve a one-year term, but there shall be a limit of two consecutive terms in any particular office. The President with approval of the Board shall fill vacancies prior to completion of that term.
ARTICLE IX: MEETINGS
Section 1: The Board shall schedule The Sonterra Women’s Association luncheons each month. Business meetings shall be held by the Board prior to each luncheon, or as called by the President.
Section 2: Joint incoming / outgoing Board meetings will be scheduled in June to plan for easy transition of positions. The new Board will meet early in August to arrange the new year’s business.
ARTICLE X: AMENDMENTS
Bylaws may be amended by a two-thirds vote of members in attendance at the monthly luncheon meeting, providing notice was given at the previous meeting in writing.
